Nasdaq-listed Brera Holdings PLC, operating under the Solmate Infrastructure brand, said it is pursuing a strategic shift to become an institutional-grade Solana infrastructure provider, with a primary operational focus in Abu Dhabi. The company said shareholders will vote on a package of proposals designed to align its corporate structure and capital allocation with that blockchain strategy.
The proposals include formally changing the company’s legal name from Brera Holdings PLC to Solmate Infrastructure PLC, amending corporate documents to reflect a focus on digital asset infrastructure and treasury, and implementing a 10-for-1 reverse stock split to place shares in a more conventional trading range for institutional investors.
Operationally, the company said it plans to wind down two underperforming soccer teams – Brera Tchumene and Brera Ilch – while retaining its flagship Italian football operation, Juve Stabia, and redirecting freed capital toward UAE-based Solana infrastructure expansion.
The reverse split would consolidate every 10 Class A and Class B ordinary shares (nominal value $0.05) into one share (nominal value $0.50), with no fractional shares issued, and proportional adjustments to awards and warrants. The board said it retains discretion to abandon the split even after authorization is granted.
The strategy builds on Solmate’s earlier Solana-treasury positioning and a reported $300 million investment round tied to its pivot, which prior reporting said involved backers including ARK Invest, the Solana Foundation, RockawayX, and UAE-based Pulsar Group.
